    TORONTO — Euro Sun Mining Inc. (TSX: ESM) announced a major regulatory breakthrough in Romania as the government has adopted an Emergency Ordinance establishing a national Single Point of Contact to implement the European Union’s Critical Raw Materials Act (CRMA). This new framework is designed to accelerate permitting and streamline processes for strategic projects, directly benefiting Euro Sun’s flagship Rovina Valley Copper-Gold Project.

    The company also released results from its optimized and updated definitive feasibility study (DFS) for the Colnic and Rovina open pits, marking the first phase of development for the project. According to the updated economic model, the project’s pre-tax net present value (NPV) has surged 173% to US$1.776 billion, with a pre-tax internal rate of return (IRR) of 39.7%, based on copper priced at US$4.50/lb and gold at US$3,300/oz.

    Euro Sun estimates the first-stage development will produce 403 million pounds of copper and 1.472 million ounces of gold at an all-in sustaining cost (AISC) of US$1,206 per gold-equivalent ounce. The project incorporates a cyanide-free process and dry stack tailings, aligning with responsible mining practices. Initial capital expenditure (CAPEX) is estimated at US$607.1 million.

    CEO Grant Sboros called the regulatory milestone and DFS results “significant,” adding that the company’s environmental impact assessment technical report has also been completed. Sboros emphasized that the strengthened project economics reaffirm Rovina Valley’s importance as a future European source of critical metals.

    Euro Sun further announced it has fully repaid a US$350,000 secured debenture owed to a company affiliated with one of its directors, releasing all associated security interests.

    In a strategic move, the company has appointed Cantor Fitzgerald Canada Corp. as its exclusive financial advisor to explore potential mergers, acquisitions, or asset-level transactions that could unlock additional value.

    The environmental impact assessment is now ready for submission, and Euro Sun plans to work closely with Romanian authorities to advance the project toward construction. The updated DFS reflects current cost data and revalidated economic assumptions, and it maintains a phased development approach. While the initial phase focuses on the Colnic and Rovina open pits, the underground Ciresata deposit may be integrated later pending future studies.

    Located in Romania’s historic Golden Quadrilateral Mining District, the Rovina Valley Project has access to established infrastructure, skilled local labor, and proximity to major transportation hubs. Over its 17-year open-pit operation, the project is expected to mine 140 million tonnes of ore, delivering 123.3 million tonnes for processing and stockpiling lower-grade material where feasible. Total material movement over the mine life is projected at 219 million tonnes, with a stripping ratio of 1.78:1.

    CEO Grant Sabor described the deposit as “one big block of uniform copper and gold,” making it exceptionally predictable and operationally low-risk. The site’s porphyry-style mineralization supports long-term, stable production.

    The project is also a pillar of the EU’s Critical Raw Materials Act (CRMA), having received strategic designation that streamlines permitting timelines and places it within Europe’s priority infrastructure. The CRMA aims to reduce the bloc’s reliance on foreign imports by supporting domestic mining initiatives with clear regulatory paths.

    A major financial breakthrough was secured through a $200 million facility agreement with global commodity trader Trafigura. The partnership also includes plans for an additional $200 million in debt financing, supporting full-scale development. Sabor emphasized the deal’s non-dilutive structure and strategic value beyond capital.

    Operational milestones in the next 12 months include finalizing government approvals, acquiring remaining land, and preparing for construction. Once fully permitted, Rovina Valley is expected to become the largest mine development in Romania in over 40 years.

    Despite previous permitting delays and financing difficulties, the project is poised to deliver hundreds of local jobs, bolster Romania’s fiscal position, and contribute significantly to European mineral supply security.

    The loan includes a binding offtake agreement for up to all commercial production over seven to nine years and will be disbursed in two stages: an initial $50 million upon signing final documentation, and the remaining $150 million following completion of a definitive feasibility study. The project’s total build cost is estimated at $448 million, based on a 2022 feasibility study.

    Rovina Valley is listed among the European Union’s 47 strategic projects aimed at securing supply chains for critical minerals. Located in Hunedoara County, the mine is projected to operate for 27 years, producing an average of 116,000 oz of gold and 49 million lb of copper annually in its first decade.

    Despite long-standing opposition from environmental groups, Euro Sun says it is advancing environmental impact assessment submissions and plans close engagement with Romanian officials. The company also notes the project holds a mining licence and is the first non-state-owned deposit in Romania to do so.

    Flora: The concession area contains indigenous vegetation that regenerates quickly. Satellite imagery and ground-truthing techniques are used to map this vegetation. For every tree removed, Euro Sun Mining commits to planting three trees.

    Fauna: The project’s relatively small footprint minimizes impact on wildlife. Livestock grazing and hunting activities will be curtailed during the life-of-mine.

    Aquatic Life & Water Quality: Baseline sampling of rivers and groundwater establishes data for metals, pH, turbidity, and nutrients. Although a small stream may require diversion, fish populations, water biodiversity, and overall ecosystem health will remain unaffected.

    Toronto, ON – Euro Sun Mining Inc. (TSX: ESM) (“Euro Sun” or the “Company”) has successfully closed the third tranche (the “Third Tranche”) of its previously announced non-brokered private placement financing of units (the “Offering”), raising gross proceeds of C$285,045.

    Under the Third Tranche, Euro Sun issued 5,700,900 units (each a “Unit”) at a price of C$0.05 per Unit. Each Unit consists of one common share (each a “Common Share”) and one common share purchase warrant (each a “Warrant”). Each Warrant grants the holder the right to acquire an additional Common Share at an exercise price of C$0.05 for a period of two years from the issue date.

    In connection with the closing of the Third Tranche, the Company paid $3,500 in cash commissions and issued 170,000 broker warrants (“Broker Warrants”) to finders. Each Broker Warrant enables the holder to purchase one Common Share at a price of C$0.05 for a period of 24 months from the closing date of the Third Tranche.

    The net proceeds from the Offering will be directed towards the advancement of the Company’s flagship Rovina Valley Project in Romania and for general corporate purposes.

    All securities issued under the Third Tranche are subject to a statutory hold period, expiring four months plus one day from the date of issuance. Additionally, the Company has secured conditional approval from the Toronto Stock Exchange (TSX) to extend the closing date of the Offering until February 13, 2025.

    Euro Sun Mining sees Romania copper project benefitting from EU’s critical materials deal

    Euro Sun Mining Inc (TSX:ESM, OTC:CPNFF) has welcomed the announcement that the European Parliament and Council have reached an agreement on the Critical Raw Materials Act, in particular, that the act recognizes copper as both a strategic and critical raw material.

    The act aims to increase the European Union’s domestic capacities for critical raw materials by identifying, streamlining and facilitating access to finance for strategic projects.

    It lists 34 critical raw materials and sets targets to increase the EU’s contribution of these substances being 10% for extraction, 40% for processing and 15% for recycling.

    The act is provisional, pending final approval by the European Parliament and Council.

    “We welcome the passing of the act and applaud the EU’s recognition of the importance of increasing domestic production of critical materials, in particular copper,” Euro Sun CEO Grant Sboros said.

    “Euro Sun believes the Rovina Valley project is a perfect candidate for the act given that it is situated in Romania and its sizable copper deposits. We look forward to working with the government of Romania to streamline the permitting and financing of the Rovina Valley project under the act.”

    Euro Sun Mining Inc. has released a corporate update on the Rovina Valley Project’s licensing requirements. The company’s Certificate of Urbanization was renewed on July 21st, 2023 for another two years, commencing in July 2023. The issuing of this renewal certificate is a major milestone in the documentation process that results in a Land Rezoning Plan, following which the Environmental Impact Assessment will be filed.

     

    The RVP, Europe’s second-largest copper and gold deposit, is where Euro Sun’s long-term investment is making headway in providing the vital metals required for the continent’s energy revolution.

    The RVP will significantly ease economic pressure on Romania’s Hunedoara County, a location with a long history of mining, and is intended to have one of the least negative environmental effects on the planet due to its lack of cyanide usage and wet tailings generation.

    The awarding of the renewal of our Certificate of Urbanization secures the mineral tenure and allows Euro Sun Mining to begin the formal procedure for the Land Rezoning Plan which will be followed by the Environmental Impact Assessment; both of which are currently in progress.
